Netgear buys Sierra Wireless’ AirCard unit, delves deeper into LTE

Sierra Wireless will be a very familiar name to many travelers who’ve depended on a hotspot or modem to keep their laptop online. Let’s hope they aren’t overly comfortable with the brand: Netgear just snapped up the assets of Sierra Wireless’ AirCard business, which covers many of the portable 3G and 4G devices we hold dear. The $138 million, 160-employee deal gives Netgear the resources it wants to make a big push into LTE access devices. Sierra Wireless, meanwhile, is blunt in describing the handover as a cash grab: the agreement gives it “significant financial resources” for improving its embedded modules and machine-to-machine devices. The deal should thus make sense for both sides as long as it completes in March, although we can’t help but feel that it’s the end of an era for jet set data users.

NETGEAR ENTERS INTO AGREEMENT TO ACQUIRE SELECT ASSETS OF SIERRA WIRELESS AIRCARD BUSINESS

Acquisition accelerates mobile initiative of NETGEAR service provider business and will be immediately accretive to earnings upon closing

SAN JOSE, Calif. – January 28, 2013 – NETGEAR(R), Inc. (NASDAQGM: NTGR), a global networking company that delivers innovative products to consumers, businesses and service providers, today announced that on January 28, 2013, it entered into an agreement to acquire select assets and operations of the Sierra Wireless, Inc. (“Sierra Wireless”) AirCard(R) business. NETGEAR management will hold an investor conference call tomorrow, January 29, 2013 at 8:30 a.m. EST (5:30 a.m. PST) to discuss the agreement.

On January 28, 2013, NETGEAR entered into an Asset Purchase Agreement with Sierra Wireless to acquire the operations of the AirCard business, including customer relationships, certain intellectual property, inventory and fixed assets of the Sierra Wireless AirCard business. The purchase price is approximately $138 million in cash. The final purchase price is subject to adjustments to be made after closing. The transaction, which is subject to customary closing conditions, including the receipt of necessary regulatory clearances, is expected to close by the end of NETGEAR’s fiscal first quarter.

Patrick Lo, Chairman and Chief Executive Officer of NETGEAR, commented, “We are excited to announce that we have entered into an agreement to acquire select assets of the Sierra Wireless AirCard business. We expect this acquisition will accelerate the mobile initiative of our service provider business unit to become a global leader in providing the latest in LTE data networking access devices. Christine Gorjanc, Chief Financial Officer of NETGEAR, said, “We are excited about the opportunities this transaction gives us, and we expect this acquisition to be accretive to non-GAAP earnings in the first full quarter that NETGEAR operates the AirCard business. Based on current information, the business we are acquiring has a 12 month trailing net revenue run rate of approximately $247 million through December 2012.”

“We are also taking this opportunity to update NETGEAR’s estimates for the recently completed fourth quarter of 2012,” Ms. Gorjanc continued. “We currently expect to achieve net revenue of $305 million to $310 million and non-GAAP operating margin within the 11% to 11.5% range, both of which are within the guidance we provided last quarter for net revenue and non-GAAP operating margin, respectively. The non-GAAP tax rate for the fourth quarter of 2012 is currently expected to be approximately 40%, which is higher than the approximately 33% that we had previously estimated. We will provide all the details on our 2012 fourth quarter and year-end results in our normally scheduled earnings release in February.”

With the completion of the asset acquisition, approximately 160 employees located primarily in Carlsbad, California and Richmond, British Columbia are expected to be integrated into NETGEAR’s service provider business under Michael Clegg, Senior Vice President and General Manager of NETGEAR’s service provider business unit.

(All amounts included are in U.S. dollars unless otherwise stated.) Sierra Wireless, Inc. (NASDAQ: SWIR) (TSX: SW) today announced it has executed a definitive agreement for the sale of substantially all of the assets and operations related to its AirCard(R) business to NETGEAR(R), Inc. (NASDAQGM: NTGR) for $138 million in cash plus approximately $6.5 million in assumed liabilities as of December 31, 2012. NETGEAR is a global networking company that delivers innovative products to consumers, businesses, and service providers. Sierra Wireless expects to realize net cash proceeds of approximately $100 million from the asset sale, after related taxes, expenses, and funds held in escrow. The transaction is expected to close in March 2013, subject to customary closing conditions.

Under the transaction, NETGEAR will acquire the assets and operations of the AirCard business, including customer relationships, products, intellectual property, inventory, and fixed assets, and assume certain liabilities, including warranty commitments and other customer obligations. Approximately 160 employees, primarily in sales, marketing, and R&D, will be transferred to NETGEAR, as well as certain facilities in Carlsbad, CA and Richmond, BC.

“This transaction is the next step in our transformation into a company focused on enabling the ‘Internet of Things’ – a strategy we have been pursuing with great success since 2007,” said Jason Cohenour, President and CEO of Sierra Wireless. “We are the world leader in this dynamic market, with the industry’s broadest product lineup, solutions across the value chain and an extensive, blue-chip customer base. Upon completion of the transaction, Sierra Wireless’s retained business will include its AirPrime[TM] embedded modules for M2M and Mobile Computing, AirLink(R) intelligent gateways and routers, and AirVantage[TM] M2M cloud product lines. Going forward, Sierra Wireless will be an M2M and connected device pure play company, focused on providing innovative hardware, software, and cloud-based solutions that work together to enable customers across a broad range of markets to connect their machines to the “Internet of Things.”

Use of funds

Sierra Wireless intends to use net proceeds from the transaction to continue its acquisition strategy in the M2M market, with the objective of accelerating revenue and earnings growth by strengthening its leadership in existing markets and expanding its position in the M2M value chain.

Sierra Wireless is also exploring alternatives to return a portion of the proceeds to shareholders and will seek approval of the Toronto Stock Exchange (“TSX”) to undertake a normal course issuer bid (“NCIB”). The terms of the proposed NCIB will be subject to TSX review and approval, and Sierra Wireless expects to provide further details in the coming weeks.

Financial highlights for the fourth quarter and full year 2012

Sierra Wireless expects consolidated fourth quarter 2012 results to be solidly in line with guidance provided on November 1, 2012. Preliminary revenue for the full year is $644 million.

With respect to the retained business, preliminary fourth quarter and full year 2012 revenues were $109 and $397 million, respectively, including $14.0 million and $61.1 million, respectively, in revenue from the sale of AirPrime embedded wireless modules to Mobile Computing customers. Non-GAAP gross margin for the retained business was 33.2 percent in the fourth quarter of 2012 and 31.6 percent for the full year. Non-GAAP earnings from operations for the retained business were modestly positive in the fourth quarter, showing a steady improvement throughout the year.

“Upon closing this transaction, we will be highly focused on driving profitable revenue growth in our M2M business,” said David McLennan, Chief Financial Officer of Sierra Wireless. “As a stand-alone business, we will have a cost structure that supports considerably higher revenue levels, which will initially be reflected in modest operating margins. However, because we will be fully invested for growth, as we increase our revenues we expect to see greater operating leverage from the business.”

Sierra Wireless will release fourth quarter and fiscal 2012 financial results after market close on February 6, 2013. Management will provide additional financial detail at that time.

Add another basic cable series to your watchlist this week, as FX debuts The Americans. Based in 1981, it focuses on a family of Soviet spies living in the US during the Cold War. The show already has a two year commitment to air in the UK, so it’s unlikely to face a quick hook — feel free to settle in.

Warner Bros Home Entertainment Group president Kevin Tsujihara named CEO

Looks like Yakko, Wakko, et al. have been overlooked for yet another executive level position at their namesake corporation. Instead, Time Warner has opted to promote Kevin Tsujihara to CEO at Warner Bros. Tsujihara, who will be replacing Barry Meyer, has been at the company since 1994. Since 2005, he’s served as the president of the company’s Home Entertainment Group. The transition will occur in March, leaving Meyer in the chairman role at least through the end of the year. Tsujihara, who also sits on the MPAA’s board of directors, “currently oversees the company’s home video, digital distribution, video games, anti-piracy and emerging technology operations,” according to a press release issued by Time Warner.

Chairman and CEO Barry Meyer today announced that Kevin Tsujihara will become the next Chief Executive Officer of Warner Bros. Entertainment. Mr. Tsujihara will become CEO beginning March 1, 2013, succeeding Mr. Meyer, who will remain as Chairman through 2013.

Entertainment and, Executive Vice President, New Media, responsible for the oversight of all Warner Bros.’ new media endeavors.

Mr. Tsujihara received his bachelor’s degree in business administration from the University of Southern California and his MBA from Stanford University. He sits on the Board of Directors for the MPAA, City Year Los Angeles, an education focused, nonprofit organization, the Los Angeles Sports & Entertainment Commission, Kabam, the Verdugo Hills Hospital Foundation, and the Entertainment Software Association.

Japan plans to broadcast 2014 World Cup in 4K

While NHK’s Super Hi-Vision 8K TV is still some distance away from becoming an everyday presence in our living rooms, we may get the next best thing soon. Japan’s Ministry of Internal Affairs and Communications expects to broadcast the 2014 World Cup next July in 4K, using free capacity on its communications satellites rather than the usual delivery methods — the bandwidth required is reportedly too much for conventional sources. The 4K airing is still coming two years earlier than originally planned, however, and should eventually spread to broadcast satellites and terrestrial networks. The fortunate ones who can tune in to the ultra-sharp futebol will need an exorbitantly-priced 4K TV set to watch, but it’s safe to presume that they’ll have some of the best viewing parties around.

Samsung expects Music Hub to reach competitors’ devices, more countries

Samsung’s Music Hub has only had a comparatively small reach to date, delivering tunes to seven countries (six with scan-and-match) and just a handful of devices. Senior VP of Media Services TJ Kang expects the audio service to broaden its horizons — he tells The Next Web that Samsung wants to widen access to rivals’ gear as well. There’s no convenient timetable to put on the calendar, but the expansion is a significant move for a service that’s frequently seen as more of a brand-specific checklist feature than a full competitor with the likes of Google Music or iTunes. Plans for Samsung’s own devices are more definite, Kang says. Music Hub is coming to more countries in 2013, as long as licensing deals work out, and further device support (including the non-mobile variety) will depend on flagship hardware releases scattered throughout the year. No matter where Media Hub heads next, it’s safe to presume that it will be more than just a nice bonus in the near future.

Jurassic Park 3D Bluray comes home April 23rd after its oneweek theatrical return

We’ve known since last year that Jurassic Park would make its return to theaters in 3D this April, but now Universal has also dropped the details about its Blu-ray 3D release, as well as the 2D release of all the flicks individually in March. Just to fill in the timeline: first Jurassic Park 1, 2 and 3 will hit Blu-ray/DVD individually (following the triple pack that shipped in 2011) on March 26th, then Jurassic Park in 3D arrives April 5th in regular and IMAX theaters (no, the now-dated CGI has not been redone, you can get a peek in the trailer embedded after the break) followed finally by the Blu-ray 3D April 26th.

While news that the flick is back on the big screen is exciting, we can’t help but think there’s a few missed opportunities here like the previously mentioned CGI, and lack of any extras detailing the conversion process on the disc. Still, some had complaints about the picture quality of the previous release and it’s possible that remastering done in the name of 3D could see a better version this time around for all viewers. Either way, after Titanic, I, Robot and even Top Gun seeing 3D re-release it appears this is definitely a trend. The individual movies are priced at $24.49 on Amazon, and the 3D combo pack is $34.99.

Researchers develop a working tractor beam, on a very small scale

We recently saw research that suggested negative radiation pressure in light could lead to a practical tractor beam. A partnership between the Czech Republic’s Institute of Scientific Instruments and Scotland’s University of St. Andrews can show that it’s more than just theory: the two have successfully created an optical field that flipped the usual pressure and started pulling objects toward the light. Their demo only tugged at the particle level — sorry, no spaceships just yet — but it exhibited unique properties that could be useful here on Earth. Scientists discovered that the pull is specific to the size and substance of a given object, and that targets would sometimes reorganize themselves in a way that improved the results. On the current scale, that pickiness could lead to at least medicinal uses, such as sorting cells based on their material. While there’s more experiments and development to go before we ever see a tractor beam at the hospital, the achievement brings us one step closer to the sci-fi future we were always told we’d get, right alongside the personal communicators and jetpacks.

DNP Samsung plays favorites, blesses Korean Galaxy Grand with quadcore and LTE

After being unveiled at the close of 2012, yesterday Samsung announced the Galaxy Grand for its native South Korea. At a glance the domestic build of this handset looks nearly identical to its foreign counterpart, however the device’s spec sheet tells a different story. Opposed to a meager dual-core chip and faux 4G connectivity, the Korean version of the Galaxy Grand sports a beefy 1.4GHz processor, along with LTE network support. Additional unique features include NFC capabilities and USB 3.0. Aside from these hometown enhancements, the device’s 5-inch WVGA display, dual-cameras and Android 4.1 operating system remain intact. Set to be available on three unannounced Korean carriers at an undisclosed time, potential suitors can pick up this superior version of the Galaxy Grand for 350,000 won (around $325).
