MetroPCS shareholders sue to block T-Mobile merger

MetrosPCS shareholders have filed a lawsuit to block a merger with T-Mobile USA, claiming that the MetroPCS board is “serving its own financial interests.” The lawsuit is against T-Mobile and its parent company Deutsche Telekom in addition to MetroPCS’ board of directors and CEO. According to the current deal in place, the shareholders will receive $1.5 billion cash and a 26% stake in the company, with the German Deutsche Telekom holding the other 74%.

The lawsuit was filed in Dallas. Says the shareholders:

“The process leading to the proposed acquisition was tainted by conflicts, tilted towards T-Mobile and driven entirely by the board and company management, who together control 15.4 percent of PCS’ outstanding stock and seek liquidity for their illiquid holdings.”

Specifically, the lawsuit states that the deal was designed to discourage other bids so that the merger was guaranteed for Deutsche Telekom. Says TMONews, the shareholders are going after the companies for corporate waste, gross mismanagement, unjust enrichment, and the alleged breach of fiduciary duty. “PCS’ officers and directors will receive millions of dollars in special payments,” the complaint states.

The deal between MetroPCS and Deutsche Telekom was struck earlier this month. Although in place, it still requires regulatory approval from the FCC and Department of Justice, which will delay the closing until the middle of 2013. T-Mobile’s CEO John Legere responded to the complaints with a statement that the deal was necessary in order to remain competitive with the big name carriers, such as Verizon, and is “about driving growth.”

T-Mobile, MetroPCS merger may not close until Q2 2013

After a bunch of rumors, last week the merger between T-Mobile and MetroPCS became official. At the time, T-Mobile executives were saying that the merger would close sometime in the first half of 2013, and today, T-Mobile’s parent company Deutsche Telekom is getting a little more specific about that window. In an interview with German newspaper Boersenzeitung (as reported by Reuters), Deutsche Telekom CFO Timotheus Hoettges said that money probably won’t change hands until the second quarter of next year.


“The transaction is not likely be carried out until the second quarter of 2013,” Hoettges said. The deal, which will be a reverse merger with MetroPCS buying out T-Mobile, will end with Deutsche Telekom owning 74% of the US-based budget carrier and MetroPCS getting a cool $1.5 billion. Current MetroPCS customers have a little while to wait before they’re taken under T-Mobile’s wing, though, as we’re finding out today that the merger won’t close for a few more months at least.

It’s easy to see why Deutsche Telekom wants to buy MetroPCS, as doing so will give T-Mobile the boost it needs here in the US. After the merger is complete, T-Mobile will have an edge when it comes to competing against AT&T and Verizon, the two biggest players in the US mobile market. This merger also means that Deutsche Telekom can try to expand its US efforts without keeping all of its eggs in one basket – if it doesn’t work out, the company can just sell off MetroPCS and keep T-Mobile going.

In other words, T-Mobile and Deutsche Telekom are in for a few very exciting months. MetroPCS is very popular when it comes to budget carriers, so it should prove to be a good buy for Deutsche Telekom. We’ll see if that’s the case soon enough, as it shouldn’t be too much longer before MetroPCS becomes a part of T-Mobile and, by extension, Deutsche Telekom. Stay tuned.

SlashGear Evening Wrap-Up: October 12, 2012

Welcome to Friday, folks. The weekend is here once again, and what better way to kick off the festivities than with a Windows 8 purchase? The new OS went up for pre-order today, while a number of other Windows 8-related stories were popping up all over the place. For instance, we found out that the marketing campaign for Windows 8 cost Microsoft a whopping $1.5 billion, and a collection of HP computers were spotted running Windows 8 on the show floor of one Best Buy store in Minnesota.


Dell is getting in early on the Windows 8 action, opening up pre-orders for a handful of new machines today, and we learned that a staggering 6 billion people around the world are now using a mobile phone of some type. A leaked T-Mobile release roadmap gives us an idea of when the carrier expects to receive a bunch of different devices, including the Windows Phone 8X. We received a rather in-depth look at an LG Nexus prototype today, and LG delivered a brand new Optimus G “product movie” that aims to get us familiar with the new handset’s features. Netflix released a Windows 8-compatible version of its app today, just ahead of the launch of the OS.

Google could be headed for an antitrust case from the FTC, and it seems that the Apple Maps controversy hasn’t done much to damage consumer enthusiasm for the iPhone 5. Speaking of the iPhone 5, Apple’s latest mobile offering has managed to overtake the Samsung Galaxy S III in web traffic despite being available for a much shorter amount of time, and Google is getting the Play Store ready for the holiday rush. SoftBank is looking to secure $23 billion to buy a majority stake in Sprint, and industry insiders are claiming that the long-rumored iPad Mini will be revealed on October 23 – just a couple weeks from now.

Star Citizen has already managed to raise an absurd $500,000 in funding, while Borderlands 2 was seen outshining its predecessor in a pretty significant way. We learned that the games industry is still on the decline, and ASUS unveiled a brand new Windows 8 VivoBook today. Amazon is now posting a disclaimer about the Kindle Paperwhite’s backlighting, YouTube is rethinking the way it ranks videos for search results, and Anonymous has cut ties with Wikileaks after the website started restricting access and asking visitors for donations.

T-Mobile Roadmap releases Windows Phone 8X on November 14th

Just incase you didn’t know that the Windows Phone 8X was coming to T-Mobile, an alledged roadmap of the carrier’s upcoming releases has made it clear. This roadmap from TmoNews also lists the LG Optimus L9 Android device, a Samsung Toba (possibly a tablet we’ve not heard of before), and a Dell BMW – this very likely being a laptop ready for action with Windows 8, starting up T-Mobile’s laptop efforts again like AT&T is doing with their set of notebook releases. This list goes on as well, showing off a color refresh for the Galaxy S II and a BlackBerry Armstrong device.

The BlackBerry Armstrong has been tipped as being one in the same with the BlackBerry Bold Touch 9900, a device that mixes touchscreen action with a full QWERTY keyboard. There’s a set of new colors for the Galaxy S II – strangely enough – though we must assume that this is mis-typed and means the Galaxy S III which has been getting several colored cases to carriers across the USA recently.

UPDATE: The Samsung Galaxy S II Color is a device in and of itself, bringing on what appears to be specifications replicating the Galaxy S II’s original release on T-Mobile. The BlackBerry device has been confirmed (so to speak, leaked) as the BlackBerry Curve 9315 with a 2.44inch 320 x 240 QVGA display, 1450mAh battery, Blackberry 7.1, 3.2 megapixel camera on the back. The images below also include the Huawei Summit, more than likely the most disappointing phone in the series. The BlackBerry image comes from @evleaks as well.

There’s also a Huawei Summit which will likely be either a smartphone or a mobile hotspot – we’re guessing the first since Huawei has been coming on strong with a variety of mid-market smartphones this summer. The Samsung Toba will likely be another data-connected version of a device they’ve got out in wi-fi only at the moment, and the HTC Windows Phone 8X will more than likely be extremely similar to its international edition.

What we’re seeing here is a set of release dats that places each of the devices either in late October or early November, with the Windows Phone 8X hitting on the 14th of November, the Samsung Toba coming on the 7th of November, and the Optimus L9 coming on the 31st of October. The Samsung Galaxy S II or III with refreshed colors will be coming on the 29th of October, the BlackBerry device on the 24th, and the Dell BMW will be out on the 14th of November.

SlashGear Evening Wrap-Up: October 8, 2012

Welcome to Monday evening everyone. Today featured a couple of a big stories, including the House Intelligence Committee warning of Huawei and ZTE potentially allowing the Chinese government to spy on the US. Huawei was quick to release a statement giving us its own side of the story and defending its business, and those US lawmakers also delivered a list of five things the government must do to prevent Huawei and ZTE from helping China with espionage.


We also had plenty of news about SpaceX’s Dragon capsule, which launched for the ISS yesterday. The launch went well despite a rocket blowout, and we learned that the capsule is carrying – among other things – ice cream and silly putty to the space station. Later on in the day, SpaceX released a statement about the minor problems on the launch pad, telling us that the mission should still go as planned. We heard that 10 million iPad Minis are on order, despite the fact that we don’t know for sure that it exists yet, and today Google started calling for more tablet-friendly apps.

The Samsung Galaxy S III was named T-Mobile’s best-selling device of all time today, and speaking of T-Mobile, the carrier received the LG Optimus L9 today as well. A 32GB Nexus 7 model was accidentally shipped to one lucky Japanese customer, and Microsoft has launched free Wi-Fi in both New York City and San Francisco. Windows 8 PCs started showing up early on HSN’s website today, and Microsoft released a Kinect SDK for Windows 8 too. Microsoft has apparently dropped its “Live” branding from its Windows 8 launch, and T-Mobile looks primed to receive iPhone 5 owners with a new NanoSIM delivery.

After being teased last week, Rovio revealed Angry Birds Star Wars today, an announcement that was quickly followed by additional details. XCOM: Enemy Unknown is available for pre-order on Steam today, while Blizzard told us that a World of Warcraft hack that allowed one player to murder others one city at a time has been patched. Pokemon Black and White 2 launched yesterday, and PETA has something to say about it, while Nokia announced that its new Lumia 810 will be bringing the Windows Phone 8 touch to T-Mobile.

Lumia 810 brings Nokia Windows Phone 8 magic to T-Mobile

The T-Mobile Nokia Lumia 810 has been introduced as an exclusive release on the carrier here in the USA with Windows Phone 8 at its side. This device will be working with a lovely 4.3-inch OLED WVGA Clear Black display as well as interchangeable shells on its back in both cyan and black – rather similar to the Nokia Lumia 820 with changeable shell for wireless charging as well. The difference between that device and this one appears to be slight – mostly a name-change, as it were.

Users will be able to work with the Lumia 810′s high-powered 8-megapixel camera on the back of this device with Carl Zeiss optics and HD video as well. This device also has a 1.2-megapixel camera up front that Microsoft notes is Skype HD certified. The Lumia 810 brings with it a collection of photo-friendly features such as Cinemagraph which will let you make animated GIFs – strange stuff! Another back-shooter-ready feature on this device is Group Shoot, allowing you to pick the best faces and smiles from a set of quickly shot photos of a group of people (or just one person, if you prefer.)

Of course you’ll also have Nokia Music with a lovely collection of advertisement-free, registration and subscription-free music tracks. You’ve got offline play and playlist availability as well – also free – and the ability to access playlists created by “an expert team of global and regional musicologists.” Sounds pretty nice right out of the box!

This device also works with Nokia City Lens, a GPS and camera-utilizing service which has you actually looking at the world around you with tags on businesses that you can access with a tap. This feature has been in the works along with Nokia Drive (for voice-guided turn-by-turn navigation) and Nokia Transit (for all the guides you could possibly need) for a very long time now – it’s time for action! The Nokia Lumia 810 is set to release “in the coming weeks” from T-Mobile with a pricing structure attached – it’ll also be working with T-Mobile’s Unlimited plans – 4G to get pumped up!

T-Mobile iPhone 5 ready for action with NanoSIM release

It’s time to get your T-Mobile iPhone 5 party started with T-Mobile’s own NanoSIM made specifically – since there’s no other phone that uses it – for the current-generation Apple smartphone. What we’re seeing today is the NanoSIM in a set of T-Mobile stores across the USA – the one you’re seeing in this post appears to have been sent out – or at least printed – near the end of September. With these NanoSIM cards users will be able to plug their non-carrier-specific iPhone into the T-Mobile network for big pink connectivity across the USA.

This release was spoken about even before the iPhone 5 was revealed for real just weeks ago. T-Mobile has made an effort to stay in the Apple universe even though they themselves do not carry the iPhone 5 officially, with plans and advertisements aimed directly at the smartphone that Apple has still not given them the pleasure of working with. This is an unprecedented effort, as you may have guessed, with carriers generally only advertising their support of smartphones they’ve also got for sale in their stores and on their network right out of the box.

Apple is a special case, of course, with the iPhone still sitting pretty at the top of the smartphone sales charts and the iPhone 5 showing itself to be a winner with millions of orders being filled before the device even hit stores. Now that the device is literally sitting in Apple stores across the nation for purchase, T-Mobile wants – and perhaps needs – to get their connection on. They mustn’t be left in the dust on this one.

Meanwhile T-Mobile continues to release a barrage of Android smartphones and will soon be amping up their Windows Phone 8 collection as well. SlashGear Evening Wrap-Up: October 5, 2012

We’ve arrived at another Friday evening, which means that the weekend lies ahead. Today, as many of you probably already know, was the one-year anniversary of the passing of Steve Jobs. Apple paid tribute to Jobs in a new video released today, and it was announced that three modified MacBook Pros will be auctioned off in memory of Jobs. On the lighter side of things, Lenovo is celebrating the 20th anniversary of the ThinkPad with a look back through time, and Samsung’s profits for Q3 2013 managed to break company records (not an easy thing to do, considering how popular Samsung is).


The LG Nexus G has been tipped for a reveal later this month, and it looks like problems with component yields might mean that we’re headed for iPad Mini shortages (assuming the rumored tablet actually exists, of course). The Kindle Paperwhite has officially been jailbroken, and Rovio was spotted teasing a new Star WarsAngry Birds tie-in earlier today, leaving us to wonder what’s in the pipeline. Sprint might be looking to rain on T-Mobile’s MetroPCS parade, and Anonymous is at it again, this time bringing down government sites in Sweden in the name of The Pirate Bay and Wikileaks founder Julian Assange.

Wii U pre-orders are hard to find these days, but provided you’ve got the cash to burn, you can pick one up on eBay. iPhone cases were popping up left and right today, like this Loop Mummy case for the iPhone 4/4S and these Moshi cases for the iPhone 5. Xi3 has gone to Kickstarter to fund its new X3A and X7A modular computers, and one analyst is saying that HP’s stock should be worth negative $2. Ubisoft gave us a brand new ZombiU development diary, and we heard that increased iPhone 5 quality demands led to a strike at a Foxconn factory in China today.

New algorithms may eventually lead to cell phones that charge twice as fast, while NASA explained why Curiosity is collecting dirt from the surface of Mars. Motorola has managed to fight off Microsoft in a patent dispute over in Germany, while astronomers say they’ve discovered a new star circling a black hole at the center of our galaxy. Pokemon Black and White 2 launch in the US this Sunday (are you ready to be the best?) and we found out today that New Zealand authorities may have been spying on Kim Dotcom much earlier than they’ve admitted.

Finally tonight, we have quite a few original articles to share with you. Don Reisinger asks if Bill Gates will be remembered in the same way as Steve Jobs when he’s gone, Chris Burns explains why the iPad Mini will be free when it launches and what the iPad Mini needs to fix when it comes to Apple tablets, and Chris Davies has a review of the Synology DS213air NAS. Entertainment Weekly magazine includes Android-toting display

There’s a limited edition Entertainment Weekly magazine out there in the wild right now that contains no less than a fully functional Android smartphone. This Android device is being utilized as an advertisement, with its components spread out apart across a page that works with its tiny 2.3-inch display as an interactive experience. This device has been discovered to essentially be a cut-apart ABO 810, a budget smartphone running Android 2.2 FroYo and costing right around $40 USD if you buy one yourself.

This advertisement page with interactive display was run by the CW, showing commercials for programs like The Arrow and Emily Owens, M.D. – both of them coming to your television set soon. The device shows a commercial or two then moves on to CW’s Twitter page where you’ll see them Tweet in real-time. This means of course that you’re working with a wireless internet connection – and indeed the setup has been discovered to be working with a T-Mobile SIM card inside.

Of course the SIM card is quite likely rather limited in its scope, pre-paid without a doubt. This device still has a microUSB port which means you’ll be able to tinker with it if you like – and charge it too. There’s no keyboard, on the other hand, and it’s almost certainly going to be more than just a little challenge for you to break into this little gem if that’s your goal.

According to the BBC, this isn’t the first time the magazine worked with a video display – back in 2009 they ran an advertisement program with a display created by Americhip. This newest integration, working with 3G data and able to be pulled apart and tinkered with outside the page (though not by intention, we must suspect), make this the strangest – and yes, most technologically advanced – magazine advertisement in the universe today. Time for the next step – full page tablet ads!
